Welcome to Net Works LLC ("Net Works," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Net Works platform, website (networks-corp.com), tools, data products, APIs, VPN service, and all related services (collectively, the "Services"). By creating an account, accessing, or using any of our Services, you ("you" or "User") agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY. BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
1.1 By registering for an account, accessing the platform, purchasing data products, using our tools, or otherwise utilizing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
1.2 If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms, and "you" shall refer to such organization.
1.3 You must be at least eighteen (18) years of age to use the Services.
2.1 To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
2.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to notify us immediately of any unauthorized use of your account.
2.3 You are responsible for all activity that occurs under your account, whether or not authorized by you. Net Works shall not be liable for any loss or damage arising from your failure to safeguard your credentials.
2.4 We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason, including suspected unauthorized use or violation of these Terms.
3.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
(a) Use the Services for any illegal activity, including but not limited to unauthorized access to computer systems, harassment, stalking, or fraud;
(b) Share, resell, sublicense, or redistribute your account credentials, API keys, or access tokens to any third party;
(c) Use automated tools, bots, or scripts to scrape, crawl, or extract data from the platform, except through authorized API access;
(d) Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any Net Works tool or software;
(e) Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
(f) Circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features of the Services;
(g) Upload, transmit, or distribute any malware, viruses, or other harmful code through the Services;
(h) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
(i) Use the Services to compile information for the purpose of sending unsolicited communications (spam);
(j) Use data products for purposes that violate applicable data protection laws or regulations.
4.1 Net Works offers data products compiled exclusively from publicly accessible sources, including but not limited to: certificate transparency logs, DNS records, public WHOIS data, open port scans, exposed configuration files, and public web content.
4.2 All data products are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. Net Works does not guarantee the accuracy, completeness, timeliness, or fitness for a particular purpose of any data product.
4.3 By purchasing a data product, you acknowledge and agree that: (a) you are solely responsible for ensuring that your use of the data complies with all applicable laws and regulations; (b) the data was collected from publicly accessible sources; and (c) Net Works is not responsible for how you use the data after purchase.
4.4 Data products may not be resold, redistributed, or made publicly available without the prior written consent of Net Works.

5.1 API access is provided subject to rate limits, usage quotas, and authentication requirements as specified in our API documentation.
5.2 You agree not to exceed your allotted rate limits or usage quotas. Excessive or abusive API usage may result in throttling, suspension, or termination of API access.
5.3 API keys are personal to your account and may not be shared, published, or embedded in client-side code.
5.4 Net Works reserves the right to modify, suspend, or discontinue API access at any time, with or without notice.
6.1 Net Works provides access to proprietary cybersecurity and intelligence tools through the platform. All tools are provided on a browser-based, software-as-a-service basis.
6.2 You agree not to: (a) copy, reproduce, or download the tools or their underlying code; (b) reverse engineer, decompile, or disassemble any tool; (c) create derivative works based on the tools; or (d) use the tools for any purpose other than as intended and documented.
6.3 Tool availability may vary based on your subscription tier. Net Works reserves the right to modify, update, or discontinue any tool at any time.
7.1 Net Works offers a virtual private network (VPN) service subject to the following terms:
(a) Zero-Log Policy. Net Works does not log, monitor, record, or store your browsing activity, DNS queries, IP addresses, or connection timestamps while using the VPN service. Connection metadata necessary for service operation (bandwidth usage, server load) is processed in real-time and not retained.
(b) Prohibited Use. You shall not use the VPN service for any illegal activity, including but not limited to: distribution of illegal content, copyright infringement, unauthorized computer access, or any activity prohibited under the laws of the United States or the jurisdiction from which you connect.
(c) DMCA and Abuse. We will respond to valid DMCA takedown notices and abuse complaints. Repeated violations may result in account suspension or termination.
(d) No Guarantee. The VPN service is provided "as is." We do not guarantee uninterrupted or error-free service, specific connection speeds, or access to any particular content or service.
8.1 Certain Services require payment. All fees are stated in United States Dollars and are exclusive of applicable taxes.
8.2 Payments are processed through our third-party payment processor (currently Stripe). By providing payment information, you authorize us to charge your payment method for the applicable fees.
8.3 Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Subscriptions automatically renew unless cancelled before the end of the current billing period.
8.4 Refund Policy. Data product purchases are non-refundable due to the nature of digital data delivery. Subscription services are eligible for a pro-rata refund for the unused portion of the current billing period if cancelled within the first fourteen (14) days. No refunds will be issued after fourteen (14) days.
9.1 All tools, software, data products, databases, APIs, code, documentation, designs, trademarks, trade names, logos, and other intellectual property associated with the Services are and remain the sole and exclusive property of Net Works LLC.
9.2 Nothing in these Terms grants you any right, title, or interest in our intellectual property, except for the limited license to use the Services in accordance with these Terms.
9.3 You may not use the Net Works name, logo, or trademarks without our prior written consent.
10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NET WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
10.2 IN NO EVENT SHALL NET WORKS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO NET WORKS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM.
10.3 THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND REGARDLESS OF WHETHER NET WORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.1 You agree to indemnify, defend, and hold harmless Net Works LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.
12.1 We may suspend or terminate your access to the Services at any time, for any reason, with or without notice, including but not limited to: (a) violation of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) non-payment of fees; or (d) upon request by law enforcement or governmental authority.
12.2 You may terminate your account at any time by contacting us through the website or through your account settings. Termination of your account does not relieve you of any obligations to pay accrued fees.
12.3 Upon termination: (a) your license to use the Services immediately ceases; (b) you must cease all use of the Services and destroy any downloaded materials; and (c) Net Works may delete your account data after a reasonable retention period, subject to our Privacy Policy.
13.1 Your use of the Services is also governed by our Privacy Policy, available at networks-corp.com/privacy. The Privacy Policy describes how we collect, use, and protect your personal information.
14.1 All data products offered through the Services are compiled exclusively from publicly accessible sources. Net Works does not acquire, process, or distribute data obtained through unauthorized access, data breaches, or any other unlawful means.

15.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15.2 NET WORKS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
16.1 These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
17.1 Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Sheridan County, Wyoming, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
17.2 CLASS ACTION WAIVER. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
17.3 Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
18.1 Net Works reserves the right to modify these Terms at any time. We will post the updated Terms on our website and update the "Effective Date" at the top of this page.
18.2 Your continued use of the Services after any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
19.1 Entire Agreement. These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Net Works regarding the Services.
19.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 Waiver. No waiver of any provision of these Terms shall constitute a waiver of any other or subsequent provision.
19.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
19.5 No Agency. No joint venture, partnership, employment, or agency relationship exists between you and Net Works as a result of these Terms or your use of the Services.
